The Certificate of Publication, explained

Publishing for six weeks isn't the finish line — filing the Certificate of Publication is. Here's exactly what the document contains, how to file it, and the three mistakes that get certificates bounced back.

What it is

A short sworn cover document filed with the NY Department of State under LLC Law §206. It states your LLC's exact name, the date its Articles of Organization were filed, its county, and the two clerk-designated newspapers that ran your notice — with both notarized Affidavits of Publication attached. Once the state accepts it, your publication requirement is satisfied permanently.

How to file it

  • 1. Sign and date the certificate (a member, manager, or authorized person).
  • 2. Attach both affidavits — one from the daily, one from the weekly.
  • 3. Enclose the $50 fee — check or money order payable to "Department of State."
  • 4. Mail everything to:

The three rejection traps
