When an LLC changes county
The county on the state's records is the one named in the LLC's articles, not where the owners live or work today. LLCs change it when:
- the business moved and the records should say so,
- the LLC still has to publish, and its county's designated newspapers cost far more than another county's,
- a bank, lender or partner asks why the county does not match.
Still have to publish? Our publication price already includes the county change. You don't need to buy it twice.
What we do
- look up your LLC on the state register and confirm its current county,
- fill in the state's form: DOS-1359-f for a New York LLC, DOS-1362-f for one formed elsewhere,
- sign it as your authorized person and file it with the $30 fee paid,
- watch the register until the new county shows, then email you the receipt.
Quick answers about changing an LLC's county
- How do I change my New York LLC's county?
- By filing a Certificate of Change with the Department of State: form DOS-1359-f for a New York LLC (LLC Law §211-A), or DOS-1362-f for an LLC formed in another state (§804-A). It changes the county location on the state's records.
- How much does it cost?
- $89 with us, all in: our $59 fee plus the state's $30 filing fee, which we pay for you.
- My LLC still has to publish. Do I need this?
- No. Our LLC publication price already includes moving the county when that is the cheaper way to publish. Buy this only when the LLC needs its county changed and nothing else.
- Does it change my address for lawsuits?
- Not unless you ask. The same certificate can also change the address the state mails legal papers to; tell us and we include it.
