You are a “foreign” LLC, and it caught you by surprise

In New York, foreign just means formed somewhere else. A Delaware LLC operating in Manhattan is a foreign LLC here. Nothing to do with being from outside the country — and most people who owe this filing have never heard the phrase applied to them, which is exactly why the deadline gets missed.

When you filed your Application for Authority to register in New York, you picked up a publication obligation under Limited Liability Company Law §802: once a week for six successive weeks, in two newspapers designated by the clerk of the county where your New York office sits — one daily, one weekly — then a Certificate of Publication for a Foreign LLC with a $50 fee to the Department of State.

Three things that differ from a domestic LLC

Every one of these is a rejected filing if it goes out wrong, and every one of them is somewhere a generic “NY LLC publication” service can quietly get you into trouble.

The deadline one is the expensive mistake. Counting 120 days from your home-state formation date instead of your Application for Authority date can put you months out before you realise there was a clock at all.

What it costs

Publication is priced by the county your New York office is designated to, and the designated newspapers set their own rates. Downstate that is brutal: a Manhattan run commonly lands between $1,000 and $1,700. Albany County has the lowest legal-notice rates in the state, and New York lets an LLC update the county it is designated to.

One fee, quoted before you pay, covering both newspapers for all six weeks, both notarized affidavits and your ready-to-file packet. The state's $50 Certificate of Publication fee goes directly to the Department of State — we never mark it up, because it isn't ours.

Why we cost less, plainly

We are not cheaper because we cut something out. You get the same six weeks in the same two clerk-designated papers, the same notarized affidavits, and the same certificate. Three honest reasons for the difference:

We do not publish our cost breakdown, and you should be sceptical of anyone whose headline number is lower than the newspapers' own rates — that gap reappears later as an invoice.

What happens if you have already missed the deadline

It is recoverable, and it is more common than you would think. Your LLC's authority to do business in New York is suspended until you publish and file — which chiefly means you generally cannot bring a lawsuit in New York courts, and banks or counterparties checking your status will see it. Your company is not dissolved and your contracts stay valid.

Publishing late cures it completely, and New York charges no penalty fee. There is no advantage to waiting and no extra charge from us for a late start.

How it runs

1. You enter your LLC name and New York office address. We check your entity against the state's own register to confirm you are foreign, find your correct DOS ID, and read the county actually on file — then quote your exact price.
2. If you are designated outside Albany, we file the county change and wait for the state to process it.
3. We place your §802 notice with both designated papers and run it for six successive weeks, confirming the paper will take a foreign notice before it goes out.
4. We collect both notarized affidavits and send you a ready-to-file Certificate of Publication packet. You sign it, add the state's $50, and mail one envelope.
