Your New York Biennial Statement, filed on time
Every New York LLC owes one every two years, in the calendar month it was formed. It costs $9 to file and takes five minutes, which is exactly why it gets forgotten until a bank asks why your LLC is showing as past due. We file it and tell you when the next one lands.
When is my Biennial Statement due?
What it is
Under Limited Liability Company Law §301(e), every New York LLC and business corporation files a Biennial Statement with the Department of State every two years. It confirms the address the Secretary of State uses to forward service of process. That is the whole filing.
Most states call this an annual report and charge annually. New York asks every two years and charges $9. It has nothing to do with your taxes, and nothing to do with the one-time newspaper publication requirement you dealt with when you formed.
When yours is due
The month your Articles of Organization were filed, every second year. Formed in March 2026, you file in March 2028, March 2030, and so on. If you are a foreign LLC, the month comes from your Application for Authority instead.
The Department of State does not send a reminder you can rely on, and the notice goes to the address on file, which for many LLCs is a registered agent or an old address. Missing it is the normal outcome, not a careless one.
What happens if you miss it
New York charges no late fee. Anyone telling you otherwise is selling urgency. What actually happens is that the Department of State marks your entity past due, and that status is public. It surfaces when:
- a bank reviews your business account or a lender runs diligence,
- a landlord or counterparty checks whether your LLC is active before signing,
- you need a Certificate of Good Standing, which the state will not issue while you are past due.
Filing cures it the same day. There is no penalty to pay and no backlog to clear.

We file through the state's e-Statement portal on our own card, so unlike publication the $9 is collected from you and remitted in full. It is shown separately because it is the state's money, not ours, and we never mark it up.
You can absolutely do this yourself
The filing is short and the state's portal is free to use. If you know your DOS ID, your filing month, and you will remember in two years, do it yourself and keep the $49.
