How dissolving an LLC works in New York

An LLC stays on the state's books until it files Articles of Dissolution under LLC Law §705. Once the members have decided to close it, or it has no members left, the Articles go to the Department of State with the $60 fee. The state's page asks for them within 90 days of dissolving and starting to wind up.

The name and the date the Articles of Organization were filed must match the state's records exactly. We take both from the register, so a typo can't get the filing rejected.

What we do

  • look up your LLC on the state register and confirm its exact name and filing date,
  • prepare the Articles of Dissolution (or, for an out-of-state LLC, the Certificate of Surrender of Authority),
  • file it online with the Department of State, the $60 fee paid,
  • email you the state's filing receipt for the company's records.

What this filing doesn't cover

Dissolving with the state closes the LLC's record. Final tax returns, closing tax accounts, and paying or settling what the LLC owes are separate. A corporation also needs the Tax Department's consent before it dissolves; the state's page for LLCs lists no such step.

Quick answers about dissolving an LLC in New York

How do I dissolve an LLC in New York?
By filing Articles of Dissolution with the Department of State (LLC Law §705). The state's form is DOS-1366-f, though the form itself is optional. The LLC's name and the date its Articles of Organization were filed have to match the state's records exactly.
How much does it cost to dissolve an LLC in New York?
The state's filing fee is $60. With us it is $159 all in: our $99 fee plus the $60, which we pay to the state for you.
Is there a deadline?
The state's page says the Articles are filed within 90 days after the LLC dissolves and starts winding up, or at any time the LLC has no members.
Do I need tax clearance first?
The state's page for LLC Articles of Dissolution lists no Tax Department consent. A corporation is different: it needs written consent from the Tax Department before it dissolves. Final tax returns and closing tax accounts are still separate from this filing; your accountant can tell you what applies.
What happens if I don't dissolve my LLC in New York?
It stays on the state's register as an existing LLC until Articles of Dissolution are filed, so the state still expects its Biennial Statement every two years. Closing its tax accounts is a separate step.
My LLC was formed in another state. What do I file?
A Certificate of Surrender of Authority (LLC Law §806), also $60 to the state. It ends the LLC's right to do business in New York. Closing the LLC in the state where it was formed is a separate filing there.
