Terms of Service

1. Who we are

Cheap NY Publication (cheapnypublication.com) is operated by Redstone Castle LLC, a New York limited liability company ("we", "us", "our"). We provide a self-help, administrative coordination service for the newspaper-publication requirement that New York Limited Liability Company Law §206 imposes on newly formed LLCs. By using the service you agree to these Terms and to our Privacy Policy and Refund Policy, which are incorporated here.

2. We are not a law firm — no legal advice

We are not a law firm, not attorneys, and not a substitute for either. We do not provide legal advice, legal opinions, or representation, and no attorney–client relationship is created by using this service. We do not select legal strategy for you, advise you on your rights or obligations, or exercise legal judgment on your behalf. Everything on this site is general information, not advice about your specific situation. For legal advice, consult a licensed attorney.

3. What the services are (and aren't)

Our role is administrative and clerical in all cases. We act on the information you provide, in standard formats. We currently offer three services.

LLC publication (LLC Law §206, or §802 for a foreign LLC). We prepare your notice from the facts you give us; submit it to the two county-clerk-designated newspapers (one daily, one weekly) and pay their publication charges; track the six-week run; collect both Affidavits of Publication; and assemble a Certificate of Publication packet, delivered to you by email with general filing instructions. Where your LLC's designated county is not Albany, we also prepare and file the Certificate of Change that moves the designation. You review the packet, you sign it, you file it with the NY Department of State, and you pay the State's $50 filing fee directly. We never touch that $50.

Biennial Statement (LLC Law §301(e)). We prepare and file this one with the Department of State on your behalf through its e-Statement service, using the address you give us, and we collect and remit the State's $9 fee in full. We send you the confirmation.

Certificate of Good Standing (Certificate of Status). We order the certificate from the Department of State on your behalf and send it to you. We collect and remit the State's $25 fee, plus any expedited-processing fee you choose, in full and at the State's own price.

Across all services we do not decide what your notice or filing should say beyond formatting the facts you give us, and do not choose your county or newspapers (the county clerk designates them). Where we collect a State fee it is shown separately at checkout, remitted in full, and is never our margin. Our fees do not include legal advice, LLC formation, registered-agent service, or tax advice.

4. Eligibility

You must be at least 18 years old and able to form a binding contract, and you must be authorized to act for the LLC you submit. The service is offered for New York limited liability companies in any New York county. Where your LLC's office is designated to a county other than Albany, our service includes preparing and filing the change of designated county with the Department of State before publication begins.

5. Your responsibilities

You are responsible for the accuracy and legality of everything you submit — in particular your exact LLC legal name (character-for-character as registered with the Department of State), formation date, and your LLC's office address. You represent that the information you provide is true and that you are entitled to use the address you give. Publication based on inaccurate information may be invalid; re-publication caused by your error is at your expense. You are responsible for reviewing the finished packet and for filing it within your LLC's 120-day statutory window once we deliver it.

6. No guarantee of a particular outcome

Except as expressly stated in our Refund Policy, we do not guarantee that the Department of State will accept any filing, or any particular processing time. Acceptance depends on factors outside our control, including the accuracy of the information you provide and State processing. Our money-back guarantee, and its conditions, are set out in full in the Refund Policy.

7. Payment and refunds

Prices are shown at checkout and payment is processed by Stripe. All fees are in U.S. dollars. Refunds and our money-back guarantee are governed by our Refund Policy, which is part of these Terms.

8. Timing

Publication takes approximately seven to eight weeks end-to-end. We are not responsible for delays caused by the newspapers, the postal service, or State processing times, though we'll keep your status page current throughout.

9. Electronic communications & consent

You consent to receive communications from us electronically — order confirmations, status updates, your finished packet, and service notices — at the email address you provide, and you agree that electronic delivery satisfies any requirement that such communications be in writing. Keep your email address current; delivery to the address you provide is effective delivery.

10. Indemnification

You agree to indemnify and hold harmless Redstone Castle LLC and its owners from any claim, loss, or expense (including reasonable attorneys' fees) arising out of information you provided that was inaccurate or that you were not authorized to use, your misuse of the service, or your violation of these Terms or of law.

11. Limitation of liability

To the maximum extent permitted by law, the service is provided "as is," and our total liability for any claim arising from or relating to the service is limited to the amount you paid us for the order in question. We are not liable for indirect, incidental, special, or consequential damages, including the consequences of a missed statutory deadline where we delivered the service as described. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Governing law & disputes

These Terms are governed by the laws of the State of New York, without regard to conflict- of-law rules. Before filing anything, you agree to first contact us at support@cheapnypublication.com and give us 30 days to resolve the matter informally. Any unresolved dispute will be brought in the state or federal courts located in New York, and you consent to their jurisdiction and venue.

13. General

These Terms, with the Privacy and Refund Policies, are the entire agreement between us and supersede prior understandings. If any provision is held unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to a successor. We may update these Terms; the version posted when you place an order governs that order.
