When an LLC needs one
Your LLC's legal name is the one on its Articles of Organization. To trade, advertise, sign contracts or take payments under any other name, New York requires the LLC to register that name first. Common cases:
- a shop or brand name that differs from the LLC's name,
- a bank account or card processor in the brand name,
- one LLC running more than one business line.
What we file
The Certificate of Assumed Name, on the state's own form, under General Business Law §130. It states:
- your LLC's exact legal name, checked against the state record,
- the assumed name,
- the principal place of business in New York,
- the counties where the LLC does business under that name,
- the address of each location in New York.
We check the name against the state's rules before filing, pay the $25 fee, and email you the filed certificate when the state returns it.
Quick answers about a DBA for an LLC
- What is a DBA for a New York LLC?
- A DBA (doing business as) lets your LLC trade under a name other than its legal name. In New York an LLC registers one by filing a Certificate of Assumed Name with the Department of State under General Business Law §130.
- How much does a DBA cost for a New York LLC?
- $99 with us, all in. That is our $74 fee plus the state's $25 filing fee, which we pay for you. For an LLC there is no extra county fee.
- Can the DBA include LLC or Inc.?
- No. The state does not allow an assumed name to contain words such as Corporation, Incorporated, Limited, Limited Liability Company or Limited Partnership, or their abbreviations. "Hudson Tile" works; "Hudson Tile LLC" does not.
- Do I file with the county clerk or the state?
- An LLC files with the New York Department of State. Sole proprietors and partnerships file with a county clerk, which is a different process.
- What do I get?
- The filed Certificate of Assumed Name, emailed to you as soon as the state returns it. Banks commonly ask for it before opening an account or accepting payments in the new name.
File your DBA
$99 all in, the state's $25 included. Find your LLC, type the name, pay, and we do the rest.
